01 Acceptance of Terms
By accessing or using sheforge.ai, guide.sheforge.ai, any SheForge application, or any service that links to these Terms, you ("User," "you," or "your") agree to be bound by these Terms of Use ("Terms") and our Privacy Policy, which is incorporated herein by reference.
If you are using SheForge on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" will refer to that entity.
If you do not agree to these Terms, do not use SheForge.
02 Eligibility

Your use of beta features constitutes acceptance of these additional limitations. See Section 13 — Boilerplate for related provisions.
04 Accounts & Access
Some SheForge features may require you to create an account. When you do:
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
- You agree to provide accurate, current, and complete information and to keep it updated.
- You must notify us immediately at nastasja@sheforge.ai if you suspect unauthorized access to your account.
We reserve the right to terminate or suspend accounts that violate these Terms, contain inaccurate information, or have been inactive for an extended period, with reasonable notice where practicable.
05 Acceptable Use
You agree to use SheForge only for lawful purposes and in ways that do not infringe the rights of others or restrict their use of the platform. The following are prohibited:
- Using SheForge to generate, store, or transmit content that is illegal, abusive, defamatory, obscene, or violates any person's rights
- Using SheForge to harass, stalk, threaten, or intimidate any individual or group
- Attempting to circumvent, hack, reverse engineer, or otherwise compromise the security of the platform
- Using automated tools, scrapers, bots, or scripts to access or extract data from SheForge without written permission
- Uploading or transmitting malware, viruses, or any malicious code
- Impersonating SheForge, its team, or any other person or entity
- Using SheForge to process Protected Health Information (PHI) as defined under HIPAA
- Reselling, sublicensing, or commercially exploiting SheForge services without a written agreement with SheForge

We reserve the right to investigate and take appropriate action against violations, including account suspension, termination, and referral to law enforcement.
06 AI-Generated Outputs
SheForge uses artificial intelligence to generate content, recommendations, plans, and analysis. AI-generated outputs may be incomplete, inaccurate, or unsuitable for your specific situation. You are responsible for reviewing, verifying, and deciding whether to use any AI-generated content before acting on it.
Specifically regarding AI outputs:
- Outputs are generated probabilistically and may vary between sessions even with identical inputs.
- SheForge makes no representation that AI-generated content is factually accurate, current, or free of bias.
- You retain full responsibility for any decisions made based on AI-generated outputs.
- AI content generated through SheForge apps is intended as a starting point, not a final work product.
- Copyright ownership of AI-generated content may be uncertain under applicable law. Consult a legal professional before relying on AI-generated content for commercial use where IP protection is important.
You Are the Human in the Loop
SheForge tools are productivity aids. You — the user — are the final decision-maker and the responsible human in the loop for all AI-generated content. Nothing is finalized, sent, published, or acted upon without your review and approval. SheForge does not take autonomous action on your behalf without your explicit instruction in that session.
This means:
- You must review AI outputs before using them in any business, professional, or personal context.
- You are responsible for verifying the accuracy, appropriateness, and legality of any AI-generated content you choose to use.
- SheForge's liability for harm arising from AI-generated content is expressly limited to the extent you relied on that content without independent verification.
AI Disclosure (EU AI Act — Article 50)
If you are located in the European Union or United Kingdom, please note: all content generated within SheForge apps is produced by artificial intelligence systems. Article 50 of the EU AI Act imposes transparency obligations on all providers of general-purpose AI systems — not only high-risk systems. Accordingly:
- As of August 2, 2026, SheForge complies with Article 50 of the EU AI Act by applying machine-readable markings to AI-generated outputs (per Article 50(2)) and displaying human-visible, contextual disclosures within the app interface at the point of interaction (per Article 50(4)).
- SheForge adheres to the EU Code of Practice on Transparency of AI-Generated Content (finalized June 10, 2026) as an applicable compliance framework for AI-generated text and media.
- SheForge apps are not classified as high-risk AI systems under Annex III of the EU AI Act.
- We will update this section as EU AI Act obligations evolve and as implementing regulations are published.
07 No Professional Advice
SheForge is a productivity and business tool. Nothing on sheforge.ai or within any SheForge application constitutes:
- Legal advice — consult a licensed attorney for legal matters
- Financial or investment advice — consult a licensed financial advisor or accountant
- Medical or clinical advice — consult a licensed healthcare provider
- Mental health or therapeutic advice — consult a licensed mental health professional
- Tax advice — consult a certified tax professional
SheForge is not a covered entity under HIPAA. Apps with wellness or journaling features (such as DreamForge or FocusForge) are personal productivity tools, not clinical interventions. Do not use them as a substitute for professional care.
08 Your Content
You retain ownership of any content you submit, upload, or create within SheForge ("User Content"). By submitting User Content, you grant SheForge a limited, non-exclusive, royalty-free, worldwide license to use, store, display, and process your content solely for the purpose of providing and improving the SheForge services. For clarity, "improving" as used in this license means debugging, enhancing performance, and developing features — it does not include using your User Content to train, fine-tune, or improve AI or machine learning models, which is governed separately by our Privacy Policy and requires your explicit opt-in consent.
We do not claim ownership of your User Content and will not sell it to third parties.
You represent and warrant that:
- You own or have the necessary rights to your User Content
- Your User Content does not infringe any third-party intellectual property, privacy, or other rights
- Your User Content does not contain Protected Health Information (PHI)
- Your User Content complies with these Terms and applicable law
We reserve the right (but not the obligation) to review and remove User Content that violates these Terms.
09 DMCA & Copyright Policy
SheForge respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. If you believe that content on SheForge or generated through SheForge infringes your copyright, you may submit a takedown notice to our designated agent.
Designated Copyright Agent
Email: nastasja@sheforge.ai — Subject line: "DMCA Takedown Notice"
Required Elements of a Takedown Notice
To be valid under 17 U.S.C. § 512(c)(3), your notice must include:
- A physical or electronic signature of the copyright owner or authorized agent
- Identification of the copyrighted work claimed to be infringed
- Identification of the material claimed to be infringing, with sufficient detail for us to locate it
- Your contact information (name, address, telephone number, and email)
- A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
- A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on its behalf
Counter-Notices
If you believe your content was removed in error, you may submit a counter-notice to the same address. Counter-notices must comply with 17 U.S.C. § 512(g)(3) and include a statement, made under penalty of perjury, that you have a good faith belief the material was removed due to mistake or misidentification.
Repeat Infringers
SheForge will terminate accounts of users who are determined to be repeat infringers in appropriate circumstances, consistent with 17 U.S.C. § 512(i).
AI-generated content may occasionally reproduce patterns from training data. SheForge is not liable for unintentional copyright similarity in AI outputs, but you are responsible for reviewing AI-generated content for potential IP issues before commercial use. Consult a legal professional if you are unsure.
10 Our Intellectual Property
SheForge and its licensors own all rights in the SheForge name, wordmark, logos, app names (DreamForge, ContentForge, FocusForge, FollowUp Flow AI, OfferForge, PipelinePro, PersonaForge), website design, underlying code, frameworks, and proprietary methodologies.
Nothing in these Terms grants you any right to use SheForge's intellectual property without express written permission. Unauthorized use of our trademarks or brand assets is prohibited.
You may share, screenshot, or quote from SheForge content for personal, non-commercial, or editorial purposes with appropriate attribution. Commercial reproduction or derivative use requires written permission.
11 Third-Party Services
SheForge integrates with and links to third-party services and platforms. These may include AI providers, email services, cloud storage, and analytics tools. We are not responsible for the content, practices, or availability of third-party services.
Your use of third-party services integrated with SheForge is subject to those services' own terms and privacy policies. We encourage you to review them. For the complete and current list of AI and infrastructure vendors that may process your data, see our public Subprocessors page.
12 Payment & Subscriptions
The SheForge marketing site does not currently process payments. Payment terms will be published separately when paid app features become available. At that time, this section will be updated to address:
- Subscription pricing and billing cycles
- Free trial terms and conditions
- Cancellation and refund policies
- Automatic renewal disclosures
If you have purchased access through a beta or early-access arrangement, the specific terms of that arrangement apply. Contact nastasja@sheforge.ai with any billing questions.
13 Disclaimers
SheForge is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, SheForge disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI-generated content.
We do not warrant that:
- The platform will be uninterrupted, error-free, or free of harmful components
- Results obtained through use of SheForge will be accurate, reliable, or meet your expectations
- Any defects in the platform will be corrected
- AI-generated content will be suitable for any specific purpose
Some jurisdictions do not allow the exclusion of implied warranties. In such cases, our disclaimers apply to the maximum extent permitted by law.
14 Limitation of Liability
To the fullest extent permitted by applicable law, SheForge and its owner, affiliates, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of (or inability to use) SheForge, including but not limited to:
- Loss of revenue, profits, or business opportunity
- Loss of data or content
- Business decisions made in reliance on AI-generated outputs
- Unauthorized access to or alteration of your data
- Third-party conduct on or through the platform
Tiered Liability Cap (Super-Cap Structure)
SheForge's total aggregate liability is subject to the following tiered structure:
- General liability cap — for all other claims, SheForge's total liability will not exceed the greater of (a) the amount you paid to SheForge in the 12 months preceding the claim, or (b) $500 USD.
- IP infringement claims — claims arising from alleged intellectual property infringement by SheForge (including AI-generated content similarity) are subject to a separate cap of the greater of (a) fees paid in the 12 months preceding the claim, or (b) $1,000 USD.
- Data breach / privacy violations — claims arising from unauthorized disclosure of your personal data are subject to a separate cap of the greater of (a) fees paid in the 12 months preceding the claim, or (b) $2,500 USD. Note: California CCPA statutory damages ($100–$750 per consumer per incident) are not overridden by this cap where applicable law provides otherwise.
- Indemnification obligations — your indemnification obligations under Section 15 are not subject to the general liability cap above and are uncapped, as permitted by applicable law.
Exclusions — Liability That Cannot Be Capped
Nothing in these Terms limits SheForge's liability for:
- Fraud or fraudulent misrepresentation
- Willful misconduct or gross negligence
- Death or personal injury caused by our negligence
- Any liability that cannot be excluded or limited under applicable California law or mandatory consumer protection law
Some jurisdictions do not allow limitations on certain types of liability. In those cases, limitations apply to the maximum extent permitted by law.
15 Indemnification
You agree to defend, indemnify, and hold harmless SheForge and its owner, affiliates, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of or access to SheForge
- Your violation of these Terms
- Your User Content
- Your violation of any third-party right, including intellectual property or privacy rights
- Any claim that your User Content caused harm to a third party
16 Termination
You may stop using SheForge at any time. If you have an account, you may request deletion by emailing nastasja@sheforge.ai.
SheForge may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms, pose a security or legal risk to the platform or other users, or for any other reason at our discretion.
Upon termination, your right to use SheForge ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and dispute resolution — will survive.
17 Dispute Resolution & Governing Law
Informal Resolution First
Before filing any formal legal claim, you agree to contact SheForge at nastasja@sheforge.ai and give us 30 days to resolve the dispute informally. Most concerns can be addressed quickly this way.
Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law provisions. For users in the European Union or United Kingdom, nothing in this section affects your rights under mandatory local consumer protection law.
Jurisdiction
Any dispute that cannot be resolved informally will be submitted to the exclusive jurisdiction of the federal and state courts located in San Diego County, California, unless applicable law requires otherwise.
Class Action Waiver
To the extent permitted by applicable law, you waive the right to bring or participate in any class action lawsuit against SheForge for disputes arising directly from your use of, payment for, or SheForge's provision of the specific services described in these Terms. This waiver is scoped to comply with California Civil Code § 1670.15 (SB 82, effective January 1, 2026), which limits dispute resolution terms in consumer contracts to the specific transaction at issue. This waiver does not extend to disputes unrelated to your direct use of SheForge services.
SheForge does not require arbitration. All disputes not resolved informally may be brought in the federal and state courts of San Diego County, California. You retain all rights to litigate individual claims in court.
18 Changes to These Terms
We may update these Terms as the platform grows and as law evolves. When we make material changes:
- We will update the "Last Updated" date at the top of this page
- We will notify users via email for significant changes to paid services
- We will post a notice on the SheForge homepage
For non-material changes (corrections, clarifications, or additions that do not reduce your rights), continued use of SheForge after the effective date constitutes acceptance.
For material changes — including changes that reduce your rights, increase your obligations, or significantly alter the service — we will notify you via email and require your affirmative re-consent before the changes take effect for your account. You will not be bound by material changes you have not affirmatively accepted.
If you do not agree to any update, you may discontinue use and request account deletion before the effective date.
19 General Provisions
The following standard provisions govern the interpretation and enforcement of these Terms:
Entire Agreement
These Terms, together with the Privacy Policy and any supplemental terms applicable to specific SheForge services (such as beta terms or future subscription terms), constitute the entire agreement between you and SheForge with respect to the subject matter hereof. These Terms supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, including any representations made in marketing materials, emails, or social media. No statement made outside these Terms creates a binding obligation on SheForge unless expressly incorporated by written amendment.
Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms will continue in full force and effect. The invalidity of a provision in one jurisdiction does not affect its validity in other jurisdictions.
Force Majeure
Neither SheForge nor you will be liable for any failure or delay in performance caused by circumstances beyond the reasonable control of the affected party, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, government action, labor disputes, internet or telecommunications outages, or failure of third-party service providers. The affected party must notify the other promptly and resume performance as soon as reasonably practicable.
Assignment
You may not assign or transfer your rights or obligations under these Terms to any third party without SheForge's prior written consent. SheForge may assign these Terms, in whole or in part, to any successor, affiliate, or acquirer of SheForge's business or assets, with notice to you. Any purported assignment in violation of this section is void.
No Waiver
SheForge's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver of a specific breach does not waive any subsequent breach of the same or any other provision.
Notice
Official notices to you will be sent to the email address associated with your account or posted prominently on sheforge.ai. Official notices to SheForge must be sent to nastasja@sheforge.ai with a subject line clearly identifying the nature of the notice. Notices are deemed received: (a) for email, on the business day after sending if no delivery failure is reported; (b) for posted notices on the site, on the date of posting.
Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
20 Data Processing Agreement (EU / UK Users)
Under Article 28 of the GDPR and UK GDPR, a Data Processing Agreement (DPA) is legally required where SheForge processes personal data on behalf of users who are data controllers. This section serves as the operative DPA for EU and UK users until a standalone DPA document is published.
Roles
For purposes of EU/UK data protection law, when you use SheForge apps to process personal data about your own customers, clients, or contacts:
- You are the data controller — you determine the purposes and means of processing.
- SheForge is the data processor — we process personal data only on your documented instructions.
Where SheForge processes your own personal data (your account data, usage data, contact information), SheForge acts as an independent data controller and our Privacy Policy governs.
Processor Obligations
As a data processor, SheForge agrees to:
- Process personal data only on your documented instructions and not for any other purpose
- Ensure that personnel authorized to process personal data are bound by confidentiality obligations
- Implement appropriate technical and organizational security measures under Article 32 GDPR
- Not engage sub-processors without your prior written or documented consent (our Subprocessor List constitutes your standing authorization for listed sub-processors)
- Assist you in fulfilling your obligations to respond to data subject rights requests
- Delete or return personal data upon termination of service, at your choice
- Provide all information necessary to demonstrate compliance with Article 28 obligations
International Data Transfers
Personal data may be transferred to and processed in the United States. SheForge relies on the EU-U.S. Data Privacy Framework (DPF) and Standard Contractual Clauses (SCCs) — specifically the EU Commission's 2021 SCCs for controller-to-processor transfers — as the legal basis for international transfers where required. A copy of applicable SCCs is available on request by emailing nastasja@sheforge.ai.
Standalone DPA
SheForge is developing a standalone, executed DPA for enterprise and EU/UK business customers. If your organization requires a signed DPA before using SheForge, contact nastasja@sheforge.ai. We will publish a standard executed DPA before SheForge apps are generally available to EU/UK users at scale.
